Terms of Use Agreement for Virtual Billing Assist

Please read these Terms of Use carefully before using our Virtual Billing Assist “Services". This Agreement sets forth the legally binding terms and conditions for your use of the Services provided by “Virtual Billing Assist, LLC”, ("Company", "we", "us", or "our”). By accessing or using the Services, you agree to be bound by this Agreement. If you disagree with any part of the Agreement, you may not access the Services.

1. Use of Services:

  • The Services provided by the Company are intended for your personal or business use to assist with billing processes virtually.
  • You agree to use the Services only for lawful purposes and in accordance with this Agreement and all applicable laws and regulations.

2. User Accounts:

  • In order to access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. Billing and Payments:

  • You agree to pay all fees and charges associated with your use of the Services in accordance with the pricing and payment terms provided to you by the Company.
  • All payments are non-refundable unless otherwise specified by the Company.

4. Intellectual Property:

  • The Company retains all rights, title, and interest in and to the Services, including all intellectual property rights.
  • You agree not to reproduce, modify, distribute, display, or create derivative works of the Services, except as expressly authorized by the Company.

5. Limitation of Liability:

  • In no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Services.
  • The Company's total liability for any claim arising out of or relating to this Agreement shall not exceed the amount paid by you to the Company for the Services during the twelve (12) month period preceding the claim.

6. Termination:

  • Upon termination, all provisions of this Agreement which by their nature should survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability, shall survive termination.

7. Changes to the Agreement:

  • The Company reserves the right to modify or update this Agreement at any time by posting the revised Agreement on the Company's website. Your continued use of the Services after any such changes constitutes your acceptance of the revised Agreement.

8. Governing Law:

  • This Agreement shall be governed by and construed in accordance with the laws of Georgia, without regard to its conflict of law principles.

HIPAA

HIPAA Policy Agreement for Virtual Billing Assist

Effective Date: 01/01/2022

This HIPAA Policy Agreement ("Agreement") is provided in accordance with the Health Insurance Portability and Accountability Act (HIPAA) and is applicable to users of the Virtual Billing Assist services ("Services") provided by Virtual Billing Assist ("Company", "we", "us", or "our").

1. Protected Health Information (PHI):

  • The Services may involve the processing of Protected Health Information (PHI) as defined by HIPAA. PHI includes individually identifiable health information.

2. Use and Disclosure of PHI:

  • The Company agrees to use and disclose PHI only as permitted by law and as necessary to perform the services described in the Virtual Billing Assist Agreement.
  • PHI will not be used or disclosed for any purpose other than the provision of the Services or as required by law.

3. Safeguards and Security Measures:

  • The Company will implement and maintain appropriate administrative, physical, and technical safeguards to protect the confidentiality, integrity, and availability of PHI.
  • Access to PHI will be restricted to authorized individuals who require the information to perform their duties.

4. Business Associate Agreement (BAA):

  • The Company acknowledges its status as a Business Associate under HIPAA and agrees to enter into a Business Associate Agreement with Covered Entities as required by law.

5. Individual Rights:

  • Individuals have the right to access their PHI, request amendments, and receive an accounting of disclosures. The Company will cooperate with Covered Entities to fulfill these rights.

6. Breach Notification:

  • In the event of a breach of unsecured PHI, the Company will comply with the HIPAA breach notification requirements, including notifying affected individuals and relevant authorities.

7. Training and Awareness:

  • The Company will provide HIPAA training to its workforce members who have access to PHI and will maintain ongoing awareness of HIPAA requirements.

8. Reporting and Monitoring:

  • The Company will establish procedures for reporting and investigating potential HIPAA violations and will regularly monitor compliance with this Agreement.

9. Disposal of PHI:

  • The Company will implement secure methods for the disposal of PHI when it is no longer needed for the intended purpose.

10. Audits and Inspections:

  • The Company agrees to cooperate with audits and inspections conducted by the Secretary of the Department of Health and Human Services to ensure compliance with HIPAA.
